Business/Corporate Transactions
We represent a wide range of business clients from medical, construction, software to real estate companies who need a wide variety of contracts for both business-to-business and consumer applications. We also deal with executive compensation agreements and mergers and acquisitions in the form of bulk sale escrows and stock purchase/sale agreements. We coordinate with all the parties in larger transactions, assisting in the placement of both equity and debt financing arrangements.

Civil Litigation
Our firm's civil litigation practice emphasizes representation on behalf of commercial businesses, lenders, real property owners, escrow holders, brokers, foreclosure trustees, and contractors. We have expertise in a large variety of unique equitable remedies, such as quiet title, reformation, judicial foreclosure, mechanic lien foreclosure, partition, receivership, injunctions, specific performance, ejectment and unlawful detainer. We represent both plaintiffs and defendants in breach of commercial business contracts, residential and commercial real estate transactions, and construction contracts.

Entity Formation
The firm creates and forms the governing documents for various entities, such as limited liability companies, corporations, general and limited partnerships. We prepare general partnership agreements, shareholder agreements, corporate by-laws, and limited liability company operating agreements; buy-sell agreements (which can be incorporated into estate planning for the business owner). We prepare entity records, establish accounts with all state and federal agencies, oversee compliance with reporting requirements, which maintains our clients' good standing with all state and federal agencies.

Estate Planning
We prepare in conjunction with the client's financial and tax advisors a complete estate plan, which necessarily includes a will and trust (revocable and irrevocable), power of attorney (financial), durable health care directive, and draft the applicable deeds and/or instruments transferring the appropriate assets into the trust. For high net-worth clients, we look to a variety of tax-driven strategies to carry out the intentions of the client, such as charitable remainder trusts and family limited partnerships.

Real Estate Transactions
The firm handles all matters involving real estate, including, commercial and residential real estate purchase/sale/option agreements, exchanges and escrow closings, retail, office, industrial and ground lease agreements, purchase/sale of loan pools, deed-in-lieu of foreclosure, loan originations and modifications, non-judicial foreclosures, tenancy-in-common agreements, lot-line adjustments, covenants, conditions and restrictions ("CC&R's"), and easements and licenses for view, open space, access, drainage, maintenance, utilities, use restrictions, and recreational activities. Because of our experience in crafting solutions, we are often referred to as the real estate and title repair shop.
